Galaxy Digital, the prominent cryptocurrency investment firm led by Mike Novogratz, has received the green light from the U.S. Securities and Exchange Commission (SEC) for a Nasdaq listing. Currently listed on the Toronto Stock Exchange (TSX), Galaxy Digital plans to transition its primary listing to Nasdaq. This strategic move, detailed in an April 7th announcement, is contingent upon shareholder and TSX approval, as well as the completion of the company’s relocation from the Cayman Islands to Delaware. The shift to Delaware is strategically chosen for its advantageous corporate environment, mirroring the domicile preference of many publicly traded corporations.

The company anticipates trading under the ticker symbol GLXY on the Nasdaq shortly after the May 9th shareholder vote. The complete transition is projected for mid-May, subject to meeting all Nasdaq listing stipulations.

Delaware: A Strategic Choice for Corporate Growth

Galaxy Digital’s decision to relocate its headquarters to Delaware is driven by its perceived business-friendly environment. The state’s comprehensive body of case law concerning corporate law, combined with its commitment to legislative updates reflecting current technological and legal trends, makes it an attractive jurisdiction for publicly traded companies.

Post-relocation, Novogratz is poised to retain substantial control over Galaxy Digital, holding nearly 60% of the voting power, as disclosed in the SEC Form S-4.

Despite the positive news, Galaxy Digital’s TSX share price experienced a temporary dip of 8% following the announcement, closing at $12.30 CAD ($8.70 USD) according to Google Finance. The stock’s journey, initially listed in July 2015, reached its peak of nearly $50 CAD in November 2021.
